Statement of Limited Warranty

AUTONOMIC CONTROLS, INC (“Autonomic Controls”) warrants that: the hardware sold by Autonomic Controls (“Hardware”) will perform substantially in accordance with the published specifications under normal use and service conditions for the applicable warranty period outlined in this document from the date of product shipment.

Warranty Period

Warranty period is determined by proof of purchase records deemed acceptable by Autonomic Controls. The applicable warranty periods are as follows:

Media Servers: Two (2) years from the date of shipment
Amplifiers: Two (2) years from the date of shipment
Streaming Amplifiers: Two (2) years from the date of shipment
Internal Components: Six (6) months from the date of shipment
External Power Supplies: Ninety (90) days from the date of shipment
Repair Services: Ninety (90) days from the completion of repair

Scope of Warranty Coverage

This Limited Warranty covers Hardware failures verifiable by Autonomic Controls and product defects that occur during the applicable warranty period and that are not attributable to any excluded condition described in this document. Covered conditions may include, but are not limited to:

Failures or defects that prevent the Hardware from performing its primary intended function.
Failures or defects that do not prevent primary intended function, but result in loss of secondary functionality.

All warranty claims are subject to verification by Autonomic Controls. Defects must be demonstrable and reproducible by Autonomic Controls or its authorized service representatives prior to approval of any warranty action.

Exclusions

Autonomic Controls shall have no obligation to service or correct cosmetic defects that do not affect Hardware functionality or any errors or defects that are deemed in Autonomic Controls' reasonable discretion to have resulted from:

Accidental damage, abuse, neglect, or unusual stress
Misuse or use of the Hardware for purposes other than its intended application
Improper installation, including but not limited to: inadequate ventilation, improper grounding, or use with non compliant power or network equipment
Modification, alteration, or repair by any party other than Autonomic Controls or its authorized agents, except where expressly instructed by Autonomic Controls
Use of unauthorized replacement parts or accessories
Products obtained through any party not expressly authorized by Autonomic Controls
Altered, removed, or modified serial numbers, MAC addresses, or license identifiers
Issues that cannot be verified or reproduced by Autonomic Controls
Failures caused by third-party software, automation platforms, control systems, network

configurations, or programming logic
Use in any manner in violation with this document

Warranty Remedies

During the applicable warranty period, and subject to verification of eligibility, Autonomic Controls shall, at its sole discretion:

Repair failed or defective Hardware
Replace failed or defective Hardware with the same or functionally equivalent Hardware
Refund or provide credit for the purchase price received by Autonomic Controls for the defective Hardware

Hardware which is provided as a Replacement may be refurbished but will be identical in specification to the defective unit and will be supported with a full manufacturer’s warranty.

Advance and Standard Replacements

Dealers with established credit accounts in good standing with no past due invoices are entitled to advance replacement of defective Hardware within ninety (90) days of the purchase of the defective Hardware. After 90 days, defective Hardware must be sent to Autonomic Controls for warranty repair or replacement according to the terms set forth in the dealer agreement.

When an advance replacement is issued defective Hardware must be returned within thirty (30) days. If the Hardware is not returned within the 30 days, the advance replacement will be considered a sale, and will be subject to the terms and conditions thereof.

Autonomic Controls reserves the right to ship replacement Hardware only after receipt of the detective Hardware when advance replacement is not approved or otherwise impossible.

Shipping Terms

The warranty claimant is responsible for all shipping and insurance costs associated with returning products to Autonomic Controls for warranty evaluation, repair, or replacement unless otherwise agreed to in writing by Autonomic Controls. Autonomic Controls shall cover return shipping costs for products determined to be eligible for warranty service.

Warranty Claim Requirements

To obtain warranty service, the claimant must:

Obtain a valid Return Merchandise Authorization (“RMA”) from Autonomic Controls
Provide verifiable proof of purchase from an authorized dealer
Provide accurate contact and shipping information
Package and ship the Hardware using adequate protective materials
Provide a valid credit card authorization when requested by Autonomic Controls

Limitation of Liability

ANY LIABILITY OF AUTONOMIC CONTROLS FOR DEFECTIVE PRODUCT WILL BE LIMITED EXCLUSIVELY TO REPAIR OR REPLACEMENT OF THE PRODUCT WITH ANOTHER PRODUCT OR REFUND OF THE PURCHASE PRICE THAT AUTONOMIC CONTROLS RECEIVED FROM YOU FOR THE DEFECTIVE PRODUCT. THIS WARRANTY SHALL BE THE SOLE AND EXCLUSIVE REMEDY TO YOU. IN NO EVENT SHALL AUTONOMIC CONTROLS BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND (PROPERTY OR ECONOMIC DAMAGES INCLUSIVE), EVEN IF AN AUTOMATIC CONTROLS REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR OF ANY CLAIM BY ANY THIRD PARTY.

Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY SET FORTH HERIN, AUTONOMIC CONTROLS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO TITLE OR INFRINGEMENT OF THIRD-PARTY RIGHTS, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE, OR ANY OTHER WARRANTIES, NOR AUTHORIZES ANY OTHER PARTY TO OFFER ANY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY FOR ANY PRODUCT SOLD BY AUTONOMIC CONTROLS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY AUTONOMIC CONTROLS OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS LIMITED WARRANTY. THIS WARRANTY STATEMENT SUPERSEDES ALL PREVIOUS WARRANTIES.

Governing Law

This Limited Warranty shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.
